Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Moderoo website builder and related services (the “Service”), operated by Parkville LLC (“Parkville,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is provided by Parkville LLC, a Wyoming limited liability company (EIN 61-2338869), 30 N. Gould Street, Suite R, Sheridan, WY 82801, United States. You can reach us at contact@moderoo.com.

2. The Service

Moderoo lets you describe a business and generate, edit, host, and publish a website using AI-assisted tools. We may add, change, or remove features at any time. We may also set, change, or enforce limits on use, including fair-use quotas on AI actions such as generations, chat edits, and page additions.

3. Eligibility and your account

You must be at least 18 years old, or the age of majority where you live, to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly if you suspect unauthorized use.

4. Plans, billing, and renewals

• Plans. We offer a free plan and paid subscription plans. The features and limits of each plan are described on our pricing page and may change over time.
• Billing. Paid plans are billed in advance through our payment processor, Stripe, on a recurring basis (for example, monthly) until you cancel.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date.
• Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain paid features until then.
• Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features.
• Taxes and price changes. Prices exclude taxes unless stated otherwise. We may change prices, and we will give you advance notice of changes that affect your subscription.

5. Acceptable use

You agree not to use the Service to:

• Break the law or infringe anyone’s intellectual-property, privacy, or other rights.
• Publish content that is unlawful, defamatory, deceptive, harassing, hateful, or sexually exploitative of minors.
• Distribute malware, phishing pages, spam, or content that facilitates fraud.
• Attempt to breach, probe, disrupt, overload, or reverse-engineer the Service or its security.
• Abuse, resell, or circumvent AI features, rate limits, or fair-use quotas, including through automated scraping.
• Misrepresent your identity or your affiliation with any person or organization.

We may investigate suspected violations and may suspend or terminate accounts, or remove or disable content, that we reasonably believe violate these Terms or the law.

6. Your content and ownership

You retain ownership of the content you provide and of the website content generated for you through the Service (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, reproduce, modify (for formatting and technical purposes), and display Your Content solely to operate and provide the Service, including hosting and publishing your site. You are responsible for Your Content and for having the rights necessary to use it.

7. AI-generated output

The Service produces output using AI models. As between you and us, you own the website output generated for you, subject to your compliance with these Terms and any third-party terms that apply to inputs you supply. Because of how generative AI works, output may not be unique and similar output may be generated for other users. You are responsible for reviewing AI output before publishing and for ensuring it is accurate, lawful, and appropriate for your use. AI output is provided without any warranty of originality, accuracy, or fitness for a particular purpose.

8. Publishing, subdomains, and custom domains

Free sites are published on a Moderoo subdomain and may display Moderoo branding. Paid plans may connect a custom domain or purchase one in-flow through our domain provider; domain registration and DNS are subject to that provider’s terms, and related fees are separate from your subscription. You are responsible for the content of any site you publish. We may suspend or remove a published site that violates these Terms.

9. Our intellectual property

The Service itself - including the Moderoo name, logo, software, templates, and design system - is owned by Parkville LLC and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to the Service’s underlying software except the limited right to use the Service as intended.

10. Third-party services

The Service integrates third-party providers (for example, for AI generation, payments, hosting, email, stock imagery, and domains). Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party services.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any output will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Parkville LLC and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify and hold harmless Parkville LLC and its representatives from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your published sites, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends, and we may delete Your Content after a reasonable period. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
